These Terms of Service ("Terms") constitute a legally binding agreement between you — whether personally or on behalf of an entity ("you") — and Treeline, Inc., a Delaware corporation ("Treeline," "we," "us," or "our"), governing your access to and use of treeline.ai and any related websites, platforms, applications, or services (collectively, the "Platform").
Treeline is registered in California and headquartered in San Francisco, CA. By accessing the Platform, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
We may update these Terms at any time. We will notify you of material changes by updating the 'Last Updated' date above. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
The Platform is intended for business users aged 18 or older. It is not designed for consumer use subject to HIPAA, FISMA, or the Gramm-Leach-Bliley Act without a separate written agreement with Treeline.
Treeline provides a software-defined managed IT and automation platform that helps organizations manage devices, identities, security, and IT operations at scale. Subject to these Terms and your applicable subscription or service agreement, Treeline grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your subscription term.
Treeline reserves all rights not expressly granted in these Terms. We may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and shall not be liable for any such modification, suspension, or discontinuation.
The Platform, including all software, technology, designs, documentation, trademarks, service marks, logos, and all other content (collectively, 'Treeline IP'), is the proprietary property of Treeline and its licensors. Treeline IP is protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.
Nothing in these Terms grants you any right to use Treeline's name, logo, or trademarks without prior written consent. You may not copy, reproduce, modify, distribute, or create derivative works of the Platform or Treeline IP without express written permission from Treeline.
By using the Platform, you represent and warrant that:
If any information you provide is found to be false, inaccurate, or incomplete, Treeline reserves the right to suspend or terminate your access to the Platform.
Access to certain features of the Platform requires a paid subscription. All fees are set forth in your applicable Order Form or service agreement. By subscribing, you authorize Treeline (or its payment processor) to charge your designated payment method on the schedule agreed to in your Order Form.
All fees are quoted and payable in U.S. dollars. Applicable taxes will be added where required by law. Treeline reserves the right to modify pricing with advance notice as specified in your agreement.
Failure to pay fees when due may result in suspension or termination of your access to the Platform. Past-due amounts are subject to interest at the lesser of 1.5% per month or the maximum rate permitted by law.
You may cancel your subscription at any time by contacting your Treeline account manager or emailing legal@treeline.ai. Cancellations take effect at the end of your current billing or contract term unless otherwise specified in your agreement.
Treeline may suspend or terminate your access immediately and without notice if: (a) you materially breach these Terms; (b) we are required to do so by law; or (c) continuation of service would create legal or security risk to Treeline or other customers.
Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and governing law) will remain in effect.
You agree not to use the Platform in any way that:
Treeline reserves the right to investigate and take appropriate action for any suspected violations, including suspension of access and referral to law enforcement.
You retain all ownership rights in data you submit to the Platform in connection with your use of our services ("Customer Data"). You grant Treeline a limited, non-exclusive license to access, process, and use Customer Data solely as necessary to provide the Platform and as described in our Privacy Statement and any applicable Data Processing Addendum ("DPA").
Treeline will not use Customer Data for any purpose other than delivering the services you have subscribed to. You are responsible for ensuring that your use of the Platform and submission of Customer Data complies with all applicable laws, including any data protection or privacy obligations applicable to your organization.
In the event of service termination, Treeline will retain Customer Data for 30 days to allow for export, after which it will be deleted in accordance with our data retention policy.
Each party may have access to confidential information of the other party ("Confidential Information"). Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it only for the purposes of performing obligations or exercising rights under these Terms.
Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party before disclosure; (iii) is independently developed without reference to the Confidential Information; or (iv) is required to be disclosed by law or court order, provided reasonable notice is given to the disclosing party.
THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TREELINE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TREELINE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TREELINE, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF TREELINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TREELINE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO TREELINE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Treeline and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) Customer Data you submit that infringes third-party rights or violates applicable law.
Treeline reserves the right, at your expense, to assume exclusive defense and control of any matter subject to this indemnification, and you agree to cooperate with Treeline's defense of such claims.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Informal Resolution: Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by providing written notice and negotiating in good faith for at least 30 days.
Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in San Francisco, California. The arbitrator's decision shall be final and binding.
Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
Class Action Waiver: You agree to resolve disputes with Treeline on an individual basis. You waive any right to participate in class-action lawsuits or class-wide arbitration.
By using the Platform, you consent to receive electronic communications from Treeline, including notices, agreements, and disclosures. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
You consent to the use of electronic signatures and records for all transactions initiated or completed through the Platform.
Treeline's services are "commercial items" as defined in FAR 2.101. Government users acquire the Platform subject to these Terms in accordance with FAR 12.212 (software) and FAR 12.211 (technical data). DOD users are subject to DFARS 227.7202-3. This clause supersedes any other FAR, DFARS, or other clause addressing government rights under these Terms.
Entire Agreement: These Terms, together with any applicable Order Form, DPA, and incorporated policies, constitute the entire agreement between you and Treeline regarding the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Treeline's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights under these Terms without Treeline's prior written consent. Treeline may assign its rights freely.
Force Majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control.
No Partnership: Nothing in these Terms creates any partnership, joint venture, or employment relationship between you and Treeline.
